PUBLIC OFFER
on concluding a service agreement
1. General Provisions
This Public Offer contains the terms for concluding a Service Agreement (hereinafter referred to as the "Service Agreement" and/or "Agreement").
This offer is recognized as a proposal addressed to one or more specific persons, which is sufficiently definite and expresses the intention of the person making the offer to consider themselves to have concluded an Agreement with the addressee who accepts the offer.
The performance of the actions specified in this Offer confirms the consent of both Parties to conclude the Service Agreement on the terms, in the manner, and to the extent set forth in this Offer.
The text below of the Public Offer is the official public proposal of the Contractor, addressed to an interested circle of persons to conclude a Service Agreement in accordance with the provisions of paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
The Service Agreement is considered concluded and comes into force from the moment the Parties perform the actions provided for in this Offer, which signify unconditional and full acceptance of all the terms of this Offer without any exceptions or limitations on the terms of accession.
2. Terms and Definitions
Agreement: The text of this Offer with its Appendices, which are an integral part of this Offer, accepted by the Customer by performing conclusive actions provided for in this Offer.
Conclusive Actions: Behavior that expresses consent to the counterparty's proposal to conclude, amend, or terminate an agreement. The actions consist of the full or partial fulfillment of the conditions proposed by the counterparty.
Contractor's Website on the Internet: A collection of computer programs and other information contained in an information system, access to which is provided via the Internet by the domain name and network address: https://taskfly.dev
Parties to the Agreement (Parties): The Contractor and the Customer.
Service: A service provided by the Contractor to the Customer in the manner and on the terms established by this Offer.
3. Subject of the Agreement
The Contractor undertakes to provide the Services to the Customer, and the Customer undertakes to pay for them in the amount, manner, and terms established by this Agreement.
The name, quantity, procedure, and other conditions for the provision of the Services are determined based on the Contractor's information when the Customer places an order, or are established on the Contractor's Website on the Internet at https://taskfly.dev
The Contractor provides the Services under this Agreement personally or with the involvement of third parties, while being responsible to the Customer for the actions of third parties as for its own.
The Agreement is concluded by accepting this Offer through the performance of conclusive actions, expressed in: actions related to registering an account on the Contractor's Website on the Internet if account registration is required; placing and sending an application by the Customer to the Contractor for the provision of Services; actions related to the payment for the Services by the Customer; actions related to the provision of the Services by the Contractor.
This list is not exhaustive; there may be other actions that clearly express a person's intention to accept the counterparty's offer.
4. Rights and Obligations of the Parties
Rights and Obligations of the Contractor:
- The Contractor undertakes to provide the Services in accordance with the provisions of this Agreement, within the terms and scope specified in this Agreement and/or in the manner indicated on the Contractor's Website.
- The Contractor undertakes to provide the Customer with access to the sections of the Website necessary to obtain information, according to clause 2.1 of the Agreement.
- The Contractor is responsible for the storage and processing of the Customer's personal data, ensures the confidentiality of this data, and uses it exclusively for the quality provision of Services to the Customer.
- The Contractor reserves the right to change the terms (period) of service provision and the conditions of this Offer unilaterally without prior notice to the Customer, by publishing the said changes on the Contractor's Website on the Internet.
- In this case, the new/changed conditions indicated on the Website apply only to newly concluded Agreements.
Rights and Obligations of the Customer:
- The Customer is obliged to provide reliable information about themselves when receiving the relevant Services.
- The Customer undertakes not to reproduce, repeat, copy, sell, or use for any purpose the information and materials that have become available to them in connection with the provision of the Services, except for personal use directly by the Customer without providing access in any form to any third parties.
- The Customer undertakes to accept the Services rendered by the Contractor;
- The Customer has the right to demand from the Contractor a refund for unrendered services, services of poor quality, services rendered in violation of the deadlines, as well as if the Customer decides to refuse the services for reasons not related to a breach of obligations by the Contractor, exclusively on the grounds provided for by the current legislation of the Russian Federation.
- The Customer guarantees that all the terms of the Agreement are clear to them; the Customer accepts the terms without reservation and in full.
5. Price and Payment Procedure
The cost of the Contractor's services provided to the Customer and the procedure for their payment are determined based on the Contractor's information when the Customer places an order or are established on the Contractor's Website on the Internet: https://taskfly.dev
All settlements under the Agreement are made in a non-cash manner.
6. Confidentiality and Security
In the implementation of this Agreement, the Parties ensure the confidentiality and security of personal data in accordance with the current version of the Federal Law of July 27, 2006, No. 152-FZ "On Personal Data" and the Federal Law of July 27, 2006, No. 149-FZ "On Information, Information Technologies, and Information Protection."
The Parties undertake to maintain the confidentiality of information received during the execution of this Agreement and to take all possible measures to protect the information received from disclosure.
7. Service Delivery, Returns, and Refunds
Methods and Terms of Service Provision
Services are provided remotely via the Internet. The term for providing the service begins from the moment of payment and is determined by the description of the specific service on our website. The average time to start providing the service is 24 hours.
Conditions for Refusal of Service
The customer has the right to refuse the service at any time before it is fully rendered. To refuse, you must contact our support service using the contacts specified on the website.
Conditions for Refund of Funds
In case of refusal of the service, the refund is made for the unused portion of the service, minus the costs actually incurred by the contractor. The refund is made within 10 banking days to the same bank details from which the payment was made.
